Role description

We are looking for a legal counsel for the growing Central Legal Services (CLS) team which is part of the Legal Services Global Operations organization (LSGO) based in Shell Business Operations (SBO) office in Krakow. The successful candidate will work in partnership with colleagues in CLS and others in the Contracting & Procurement (CP) legal department.

Shell’s CP function delivers the industry’s most competitive supply chain with 2,400 CP professionals globally managing 27,000 active contracts and 42,000 suppliers in support of Shell’s business across the entire value chain with 3rd party spend of approximately USD45 billion p/a. They are supported by a global team of CP lawyers who are dedicated to provide timely and practical legal support to CP professionals around the world.

This role requires a professional, fast-learning and enthusiastic lawyer with a keen interest in contracting and procurement laws and experience working in a global or regional role to deliver timely and practical legal advice to central and local CP teams on the procurement of a broad range of goods and services, establishment and termination of local contracts under global framework agreements and compliance with local regulations on data export restrictions and other regulatory matters.

Accountabilities

  • Legal activities are expected to include: (i) advice with respect to proposed commercial strategies; (ii) advising on legal rights and obligations under existing contractual arrangements; (iii) the negotiation and drafting of contracts and other documentation; and (iv) resolution of legal and business problems encountered in the promotion of business interests and the protection of its assets and reputation.
  • Ensure that legal considerations, including mitigation of legal risks identified, are taken into account in operations, planning activities and contracting.
  • Monitor relevant legal developments and communicate these to the business.
  • Ensure documents reflect accurately commercial decisions, always consistent with legal obligations, the Shell General Business Principles and the Shell Control Framework.
  • Ability to work as part of a team and with both internal and external stakeholders from diverse cultural backgrounds.
  • Deliver trainings to CP including basic and advanced contract skills. Develop training material and process improvements for more efficient use of legal support.
  • Deliver according to Legal’s supply led model and focus on and prioritising high value/risk matters.
  • Contribute to the team and future legal initiatives with focus on operational excellence, continuous improvement through the application of IT and Digital tools and driving sustainable culture of change.

Dimensions

  • Supports CP activities primarily in the Asia/Europe region and across the Shell value chain (upstream, wells, integrated gas, new energy, trading, downstream, chemicals, and global commercial). May be asked to support other region or project with agreement of line manager.
  • The position will require that the successful candidate show a high degree of flexibility. While the role has a clear responsibility and accountability for a function (CP) the role is part of a global team and all lawyers are expected to support each other and at times, undertake work supporting other business units. This cross-over is also encouraged from a personal development perspective.

Requirements

  • Must have legal authorization to work in the country where the offices are located on a full-time basis.
  • Law degree and professional legal qualification.
  • Ideally, you studied, and/or you are qualified in German or French law in addition to Polish Law.
  • Fluent and proficient English speaking and writing skills.
  • Fluent and proficient German or French speaking and writing skills.
  • Minimum 4 years legal experience, preferably in a regional or global role, in advising on broad range of general commercial-legal matters and drafting contracts.

  • Able to clearly explain legal risks, develop sound mitigation strategies and explain them to business partners.
  • Excellent analytical, communication and interpersonal skills.
  • Ability to ensure that documents accurately reflect the commercial decisions, at all times consistent with legal obligations and Shell’s requirements.
  • Ability to prioritize and manage issues independently.
  • Ability to develop and sustain relationships with clients at all levels and in a range of cultures.
  • Experience in working in teams using Agile methodologies would be an advantage.
  • Experience in delivering contract negotiation training will be an advantage.
  • Resilience to keep a calm and balanced approach and maintain a robust stance in respect of allocation of risk for the Group, while balancing that with the commercial and strategic drivers.
